Terms of Service

Please read these terms carefully before engaging our services.

1. Introduction

Welcome to Solutionitics ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website located at solutionitics.com and the IT services we provide, including but not limited to web development, Shopify store development, e-commerce solutions, automation, UI/UX design, and SEO optimization.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

Solutionitics provides the following categories of services:

  • Custom web application development
  • Shopify store development and theme customization
  • E-commerce platform setup and optimization
  • Business process automation and system integration
  • UI/UX design and prototyping
  • SEO and website performance optimization

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate written proposal or contract ("Project Agreement") agreed upon by both parties before work commences.

3. Client Obligations

When engaging our services, you agree to:

  • Provide accurate and complete information necessary for us to perform the services
  • Provide timely feedback and approvals at agreed-upon milestones
  • Ensure that any content, images, or materials you provide do not infringe on third-party intellectual property rights
  • Maintain the confidentiality of any account credentials or access we provide
  • Comply with all applicable laws and regulations related to your use of the deliverables

4. Payment Terms

Payment terms will be specified in each Project Agreement. General payment policies include:

  • A deposit (typically 30-50% of the total project cost) is required before work begins
  • Remaining payments are due at agreed milestones or upon project completion
  • All invoices are due within 14 days of issuance unless otherwise specified
  • Late payments may incur a fee of 1.5% per month on the outstanding balance
  • We reserve the right to pause or suspend work if payments are overdue by more than 14 days

5. Intellectual Property

Client Ownership: Upon full payment, you will own the custom code, designs, and deliverables created specifically for your project, unless otherwise stated in the Project Agreement.

Company Ownership: We retain ownership of any pre-existing tools, frameworks, libraries, or components that we use or develop independently. We grant you a non-exclusive, perpetual license to use such components within your project.

Portfolio Rights: Unless otherwise agreed, we reserve the right to showcase the completed project in our portfolio and marketing materials.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical specifications, credentials, and any information marked as confidential. This obligation survives the termination of the business relationship.

7. Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

  • We do not guarantee specific results, such as search engine rankings, conversion rates, or revenue increases
  • We are not responsible for issues caused by third-party services, hosting providers, or platforms (e.g., Shopify, payment gateways)
  • All services are provided "as is" after the warranty period specified in the Project Agreement

8. Limitation of Liability

To the maximum extent permitted by law, Solutionitics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claim arising from a project shall not exceed the total amount paid by you for that specific project.

9. Termination

Either party may terminate a Project Agreement by providing written notice. Upon termination:

  • You will be billed for all work completed up to the date of termination
  • Any deposits paid for uncompleted work may be partially refundable at our discretion
  • We will deliver all completed work and materials upon receipt of final payment
  • Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination

10. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be effective upon posting to our website. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration or the courts of the appropriate jurisdiction.
